Terms of Service

These Terms ("Terms") govern your access to and use of the services provided by Digital Rizz ("we", "our", "us"). By booking a call, signing a proposal, or using our dashboard, you agree to these Terms.
1. Services
We provide B2B outbound acquisition services across three offerings: SITE (one-time landing page), AUTOMATE (one-time setup of an outbound system), and ACQUIRE (setup + ongoing managed service). The specific scope for your engagement is defined in the proposal we send before you pay.
2. Payment
Setup fees are invoiced up front. Monthly fees (ACQUIRE) are invoiced on the 1st of each month. Payment terms are net-7. Stripe processes all transactions. Invoices not paid within 30 days may pause the service until resolved.
3. Refunds
AUTOMATE and ACQUIRE setup fees carry a 30-day money-back guarantee: if we fail to achieve clean deliverability and first positive replies within 30 days of launch, we refund the setup fee in full. SITE work is non-refundable once delivered. Monthly ACQUIRE fees are non-refundable mid-month but you can cancel any time after month 2.
4. Ownership
All code, lead data, dashboards, and deployed infrastructure delivered to you becomes your property upon final payment. We retain the right to reuse generic patterns, frameworks, and non-confidential know-how in other engagements.
5. Your responsibilities
- Provide accurate information about your ICP, offer, and business.
- Respond to replies and meeting requests in a timely way — our system books them, but you close them.
- Hold any required business registrations (ABN / company number).
- Not use the service to send spam, malware, phishing, or anything illegal.
6. Prohibited use
You may not use our services to contact consumers (B2C), send transactional deception, impersonate any person, or contact anyone on a suppression list. We will terminate the engagement and keep the setup fee if we discover this after the fact.
7. Compliance
We operate under CAN-SPAM (US), CASL (Canada), Australian Spam Act 2003, and GDPR (EU/UK). Every email we send on your behalf carries a one-click unsubscribe link and a valid physical business address. You agree not to disable or strip these.
8. Warranties and disclaimers
We perform the service with professional care. We do not warrant specific revenue outcomes — outbound performance depends on your offer, market, and sales motion, which are outside our control. The service is provided "as is" beyond the guarantees in Section 3.
9. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from the service is capped at the fees you have paid us in the 12 months prior to the claim. We are not liable for indirect, consequential, or lost-profit damages.
10. Termination
Either party may terminate ACQUIRE with 30 days written notice after month 2. We may terminate immediately if you breach these Terms or fail to pay for 30+ days. On termination, you retain ownership of delivered work; we stop sending emails on your behalf.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Disputes go to the courts of NSW, unless mandatory local consumer law says otherwise.
12. Changes
We may update these Terms by posting a new version on this page. Material changes will be emailed to active clients 14 days before taking effect.
